Host Factoring agreement

This Factoring Agreement (“Agreement”) is entered into by and between:

Accommodation Factor, a financial services platform (“AF,” “we,” “us,” or “our”),
and
the accommodation host or property operator identified during registration (“Host,” “you,” or “your”).

By registering for and using the Accommodation Factor service, the Host agrees to be bound by the terms of this Agreement.


1. PURPOSE OF AGREEMENT

Accommodation Factor provides a receivables factoring service that enables accommodation hosts to receive early payment for confirmed accommodation bookings by selling their receivable rights to AF.

This Agreement governs the purchase of receivables arising from confirmed accommodation bookings and does not constitute a loan, credit facility, or debt arrangement.


2. DEFINITIONS

For purposes of this Agreement:

  • “Confirmed Booking” means a reservation accepted and confirmed through an accommodation platform or direct booking channel.

  • “Receivable” means the Host’s right to receive payment for a Confirmed Booking.

  • “Advance Payout” means the amount paid by AF to the Host in exchange for the Receivable.

  • “Factoring Fee” means the fee charged by AF for purchasing the Receivable.

  • “Subscription Fee” means the annual Premium membership fee.

  • “Platform” means any third-party booking or payment platform used by the Host.


3. SALE AND ASSIGNMENT OF RECEIVABLES

3.1 The Host hereby sells, assigns, and transfers to AF all rights, title, and interest in the Receivable submitted for factoring.

3.2 Upon acceptance by AF, the Receivable becomes the property of AF, and AF assumes the right to collect payment from the relevant Platform or payer.

3.3 Each Receivable transaction is independent and voluntary. The Host is not obligated to submit any minimum number of bookings.


4. ADVANCE PAYOUT

4.1 Upon approval of a Receivable, AF will remit an Advance Payout to the Host.

4.2 The Advance Payout amount equals the Receivable value minus applicable Factoring Fees and charges, which are deducted upfront.

4.3 Payment timing may vary based on verification, platform processing, and compliance checks.


5. FEES AND PRICING

5.1 Subscription Fee

  • AF offers a Premium Subscription at USD 45 per year.

  • The Subscription Fee is payable in advance and is non-refundable.

  • Premium status may be required to access certain features or services.

5.2 Factoring Fees

  • Factoring Fees are charged per transaction.

  • Fees are deducted upfront from the Advance Payout.

  • Below are the applicable Factoring Fee for each transaction.

5.3 Fee Changes

AF reserves the right to modify fees. Updated pricing will be published on the AF website and will apply to future transactions only.


6. NO LOAN / NO DEBT ACKNOWLEDGEMENT

6.1 The Host acknowledges that:

  • This Agreement does not create a loan or credit relationship.

  • No interest accrues.

  • The Host is selling Receivables, not borrowing funds.

6.2 AF does not report transactions as debt to credit bureaus.


7. HOST REPRESENTATIONS AND WARRANTIES

The Host represents and warrants that:

  • All submitted bookings are legitimate and accurately described.

  • The Receivable is free from liens, disputes, or prior assignments.

  • The Host has the legal right to sell the Receivable.

  • No fraud, misrepresentation, or platform policy violations exist.


8. NON-RECOURSE / LIMITED RECOURSE

8.1 AF assumes the risk of delayed platform payments, subject to exceptions.

8.2 The Host remains liable if non-payment results from:

  • Fraud or misrepresentation

  • Booking cancellation or chargeback

  • Violation of platform rules

  • Guest disputes caused by Host actions


9. COLLECTION RIGHTS

9.1 AF has the exclusive right to receive payment for purchased Receivables.

9.2 The Host agrees to cooperate with AF in resolving any payment issues.

9.3 AF may communicate directly with platforms or payment processors when required.


10. TERMINATION

10.1 Either party may terminate this Agreement upon written notice.

10.2 Termination does not affect Receivables already purchased by AF.

10.3 AF may suspend or terminate accounts for breach, fraud, or misuse.


11. CONFIDENTIALITY

Both parties agree to keep all non-public information confidential, except where disclosure is required by law or platform rules.


12. COMPLIANCE & REGULATORY

The Host agrees to comply with:

  • Applicable laws and regulations

  • Platform terms and conditions

  • Anti-fraud and anti-money-laundering requirements

AF may conduct verification and due diligence as required.


13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • AF is not liable for indirect or consequential damages.

  • AF’s liability is limited to the amount of the applicable Advance Payout.


14. INDEMNIFICATION

The Host agrees to indemnify and hold harmless AF from claims, losses, or damages arising from:

  • Fraud or misrepresentation

  • Breach of this Agreement

  • Platform disputes caused by Host conduct


15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction designated by AF, without regard to conflict-of-law principles.


16. ELECTRONIC ACCEPTANCE

By registering, clicking acceptance, or submitting a Receivable, the Host agrees to this Agreement electronically, which has the same legal effect as a signed contract.


17. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or representations.


ACCEPTANCE

By using Accommodation Factor services, the Host confirms acceptance of this Factoring Agreement.
